Terms & Conditions

These Terms and Conditions constitute a legally binding agreement between you ("Client", "User", or "You") and Softhuge Technologies Pvt. Ltd. ("Softhuge", "We", "Our", or "Us") governing your access to and use of our digital platforms, custom software development services, and software assets.

1. Acceptance of Terms

By accessing our website, hiring our engineering team, or purchasing source code from our platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

2. Intellectual Property Rights

Unless explicitly agreed upon in a custom software agreement or Statement of Work (SOW):

• Custom Client Projects: Upon 100% milestone payment completion, full intellectual property (IP) and source code ownership transfer directly to the client.
• Softhuge Products & Source Code: Products licensed via our store are provided with single-use or multi-use licenses as specified in your purchase tier. You may not resell or redistribute raw source code.

3. User Responsibilities & Conduct

When utilizing our systems, client portals, or APIs, you agree to:

• Provide accurate, verified project information and account details.
• Maintain the confidentiality of your credentials and API tokens.
• Refrain from reverse-engineering, scraping, or attempting denial-of-service (DDoS) attacks against our infrastructure.

4. Purchases, Payments & Milestone Delivery

All commercial terms, currency handling (INR / USD), and milestone sign-offs are transparently defined prior to sprint initiation:

• Milestone Invoicing: Development phases are billed against agreed sprint milestones. Work commences upon milestone deposit receipt.
• Payment Gateways: Transactions are securely processed via Razorpay or Stripe with encrypted tokenization.

5. Platform Governance & SLA

We maintain high uptime standards for hosted applications and software platforms:

• Service Continuity: We perform automated database backups and security scanning. Ongoing maintenance is governed by signed Annual Maintenance Contracts (AMC).
• Warranty: Custom software includes a standard 30-day bug-fix warranty period post-deployment.

6. Jurisdiction & Applicable Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Sirsa, Haryana, India.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Softhuge Technologies, its directors, or developers be liable for indirect, incidental, or consequential damages resulting from third-party server downtime, user misconfiguration, or external API disruptions.
